A group where I serve as secretary holds several regular meetings throughout the year. At a regular meeting a few weeks ago, we passed a resolution. Our executive committee realized that there are some items that need to be added to that resolution in order to allow another group to take action. We have called a special meeting and given notice. We have a few "Be it further resolved" we would like to amend to the resolution passed at the last regular meeting. It would be coming from the Executive Committee as a whole to this whole regular assembly of 22 people. What is the proper way of handling this from a parliamentary standpoint? If the former, then the chairman of your committee should move to amend something previously adopted, and a 2/3s vote will be required. If the latter, then he could simply move to adopt them as a new motion, and only a majority is required (assuming something different is not required by something in your bylaws). That’s not really correct. If previous notice is given of the motion to amend or rescind something previously adopted, only a majority vote is required. Without previous notice, a 2/3 vote is required or the vote of a majority of the entire membership. see §35:2(7) (RONR 12th ed.). The motion is Amend Something Previously Adopted, and if clear and specific notice was given in the call of the meeting (which is required for special meetings) the motion would require only a majority vote for passage.
