Atul Kapur Posted May 6, 2024 at 07:42 PM Report Share Posted May 6, 2024 at 07:42 PM Calculate ⅔ of the total votes cast. Do not round the result. Check if the number of Yes votes is at least as large as that result. If so, then a ⅔ threshold has been met. For example, if all 11 board members vote, then ⅔ of 11 is 7⅓. So you need at least 7⅓ yes votes; 7 Yes votes doesn't meet that threshold but 8 does. If 9 board members vote, then ⅔ of 9 is 6, so you need at least 6 Yes votes to meet the threshold. A quicker way to do it is to see if the number of Yes votes is at least twice the number of No votes. A 7-4 vote does not meet that threshold (7 is not at least 2x4) but an 8-3 vote does. If there are twice as many yes votes as there are no votes, you’ve got a two-thirds vote.

Is there a special rule that a particular motion must be approved by 2/3 of all members? That would be highly unusual.

A ⅔ vote is not based on the number of members in the body. It is based on the number present and voting. If the number of Yes votes is greater than or equal to twice the number of No votes (with at least one Yes vote) then two-thirds of the votes are in favor.
