If you can please share your interpretations. Thank you. Quorum and Voting Two or more Officers and one-third of the members in attendance shall be a quorum for all meetings of the members. Both provisions must be satisfied. Edited to add: It is not clear, however, as to whether the two officers can be included in the count of one-third of the members or if one third of the members, not including the officers, must be present. For example: Assume the organization has 30 members and you have two officers present. Must there be ten members IN ADDITION TO the two officers, or can the two officers be included in the ten who are present so that two officers plus eight other members satisfies the quorum requirement?
