Can any board member schedule a "call" meeting?A special (or "called") meeting is a meeting that's held to deal with an important matter that can't wait until the next regular meeting. Special meetings are prohibited unless specifically authorized in the bylaws, which should also state who can call them and how they are to be called (e.g how much notice is required). However, see below:If it was something that absolutely could not wait, the board members could act as individuals and hope that their actions would later be ratified by the board at the next regular meeting. But they do this at their own personal risk.What the board should do now to make this proper is, at the next regular meeting, ratify the earlier action.
