HOA Board meeting cancelled again

What is the ruling on cancel meeting?

In general, there is no cancellation of meetings.

Once called, there is no un-calling.

If a rule fixes the day/hour (like, "the third Wednesday of the month"), it is impossible to cancel that kind of calling of a meeting.

I could describe a convoluted scenario where a cancellation is possible. But let's not talk about extremes, yet.

Our HOA board has canceled 5 out of the last 8 months of meetings. What is the ruling on cancel meeting? Note, husband was recently added as a board member 3 months ago and now since he is on, meetings are being canceled. He has been able to attend the meetings.

If a quorum shows up at the appointed time business can be conducted. Why are they being "cancelled"?

Main reason for the cancellations are due to the secretary is always on vacation and the board can't seem to function without her. No real reasons stated other then not everyone can make it. Business is still being conducted via email and President finds time for placing liens and going to hearings on a lawsuit.

As noted, the board can't cancel meetings. The board also can't conduct business by e-mail unless authorized by the Bylaws. (RONR, 10th ed., pg, 2, footnote)

The Board doesn't need THE Secretary to hold a meeting. A Secretary pro-tem can be elected. If they cancel meetings because "not everyone can make it", that's not a good excuse as long as quorum would be met by those who can attend.

Note, husband was recently added as a board member 3 months ago and now since he is on, meetings are being canceled. He has been able to attend the meetings.
And whatever this implies, I can only guess, although it seems the Board was canceling meetings before he was elected, so......

Tell your husband to make sure enough of his board buddies show up in person to have a quorum and conduct business without whomever doesn't show. They can elect someone to preside and take minutes if the President and Secretary don't show up.

Thank you, unfortunately he does not have any board member buddies. The board has members that have been together for 20 years or more. We are an outsider of only 12 painful miserable years in this community of 80. We have questioned their actions and haven't gotten too far. No one in the community has stepped up to them except for us. This group was turned over once before to be replaced by a worse situation of a three quarter of a million fine. So therefore this original group is back but places more pain by consistently challenging the Roberts Rule of Order guidelines.

Thank you, unfortunately he does not have any board member buddies. The board has members that have been together for 20 years or more. We are an outsider of only 12 painful miserable years in this community of 80. We have questioned their actions and haven't gotten too far. No one in the community has stepped up to them except for us. This group was turned over once before to be replaced by a worse situation of a three quarter of a million fine. So therefore this original group is back but places more pain by consistently challenging the Roberts Rule of Order guidelines.

This, unfortunately, is an illustration of the fact that Robert's Rules is a guide for people who basically want to follow the rules of fair procedure. If a majority doesn't want to follow the rules (your board), or doesn't care about the rules (the larger group of homeowners in your community), you're pretty much out of luck in the parliamentary arena.

If the actions of the board are sufficiently troublesome, you may want to think about legal action.

If you have some buddies in the general membership, see FAQ #20, elsewhere on this site. If you don't have that either, your only recourse would be legal action. There isn't much that can be done within the realm of parliamentary procedure without a majority on your side.
