BOD Disregard of Membership's Affirmative Vote

At our last General Membership Meeting the President and Vice President were absent so the Secretary conducted the meeting. The issue of re-instating our former Activities Director came up and the Board was not in favor of re-installing her. The membership was quite upset over this and one of our members made a motion from the floor that the this person should be re-instated. The motion was seconded. There was discusion and the vote was called for. The results were 89 yes and 18 no. After the meeting closed and the Vice President had time to return to the park, he said the vote would not be accepted and they were still going to interview others for the position and the Board would inform us of who they selected for the job. Can they over ride the Memberships Vote? What does RONR say about this issue. Thank you.

RONR, as described in Official Interps. 12 & 13, as Mountcastle noted, would have it that the membership's decisions are the ones that count, and the Board should do what it is told.

However, this is often tempered by whatever powers the bylaws give to the Board. So look carefully at your association bylaws. The board may well have full power to hire and/or fire employees or assign people to jobs, such as your Activities Director.

I agree completely with Dr. Stackpole's admonition that you review your bylaws very carefully to determine the extent of the powers conferred upon your board. However, I would suggest that, in the last sentence of his response, the word "full" be struck out and the word "exclusive" be inserted in its place.

This is because, under the rules in RONR, the membership's assembly is the boss even if the board has full power to act between membership meetings. The board's decision will control only if the governing documents give the board exclusive power to act on the matter in question.
