Does Robtet's Rules allow a board member to give another board member a proxy for use at board business meetings, and then use it to second a motion made by the proxy holder? By-laws provide for general members to give proxys at membership meetings, but by-laws are slient as to board members giving proxys to other board members at board meetings. State corporate law appears to be slient also. Page 414 (15-20) appears to disallow. The board meeting is a deliberative assembly. Anyone have experience with this?

No.

While RONR acknowledges the possibility of proxies, it does not endorse them.

If the bylaws don't permit proxy voting for Board meetings then it can't be done (RONR pp. 408-409).

And, Will, there is probably no need for seconds at your board meetings anyway, proxies or not. RONR, p. 470.
