By-laws provide for general members to give proxys at membership meetings, but by-laws are slient as to board members giving proxys to other board members at board meetings. State corporate law appears to be slient also. Page 414 (15-20) appears to disallow. The board meeting is a deliberative assembly. Anyone have experience with this?
