But check your bylaws. If the membership elects the board, the membership's on top. If the board has the exclusive authority to amend the bylaws, that's a horse of a different color. But if the board is authorized by the bylaws to conduct the normal business of the society between general meetings, the general assembly does not have to ratify each action of the board. The general assembly does retain the right to instruct or countermand the board, though, and the board is prohibited from acting against the wishes of the membership.
