SharonM Posted May 24, 2011 at 07:32 PM Report Share Posted May 24, 2011 at 07:32 PM We are in the process of amending our bylaws. We have changed addresses and directors and our current bylaws state the old address. Do we have to list a mailing address in the bylaws or can we amend the wording to state "Official registered association address to be kept on file by Executive Director" so that in the future if this happens we will not have to change it again? Thanks.
Josh Martin Posted May 24, 2011 at 07:34 PM Report Share Posted May 24, 2011 at 07:34 PM Do we have to list a mailing address in the bylaws or can we amend the wording to state "Official registered association address to be kept on file by Executive Director" so that in the future if this happens we will not have to change it again? I would just strike the address entirely and not bother to replace it with anything. I don't believe such a topic needs to be addressed in the Bylaws and may be more appropriate in a lower-level rule. If your organization desires to keep it in the Bylaws, the suggested wording would certainly be preferable to listing the actual address (since as you suggest, this is subject to change). Thanks. Yes you can. The name of the organization should be in the bylaws, but the address does not. In fact, you don't even need to include that language in the bylaws. After you remove the old address, you can simply adopt a resolution stating the official mailing address, which will remain in effect until amended. Rev Ed Posted May 24, 2011 at 08:39 PM Report Share Posted May 24, 2011 at 08:39 PM Better yet, amend the By-law to read something to the effect of "The Board shall set the address for the organization and may change it from time to time as required for the smooth operation of the organization."
