Guest mp Posted June 29, 2011 at 04:29 PM Report Share Posted June 29, 2011 at 04:29 PM An organization to which I belong has a 12-member BOD, but the pool from which to draw the board members is quite small (based on residency requirements and other issues). No bylaws changes are posasible this year due to lack of previous notice, and there is zero chance that the entire membership will attend the annual meeting. We are concerned that we will not have enough eligible members to fill all of the vacant board positions. My understanding is that not all board positions must be filled as long as we have enough members to meet the 7-member quorum. Am I correct?
