Koz Posted December 8, 2011 at 06:50 PM Report Share Posted December 8, 2011 at 06:50 PM Can a Chairman 'reconstitute' a previously existing ad hoc committee (bylaws committee)? Can a Chairman establish a Committee or only appoint members to committees established by the assembly?Under duties of the Chairman, our bylaws state that the Chairman shall "appoint the members of such other committees as are provided for by these Rules" and "the Chairman shall appoint such committees as may be deemed necessary and appropriate for the conduct of affairs" of the organization. Gary Novosielski Posted December 8, 2011 at 07:49 PM Report Share Posted December 8, 2011 at 07:49 PM The power to "appoint" committees does not include the power to establish them. That is done by the assembly.
Trina Posted December 8, 2011 at 07:53 PM Report Share Posted December 8, 2011 at 07:53 PM And you can't 'reconstitute' an ad hoc committee that has finished its job (reported, and closed up shop). It has to be established again from scratch (sure, it could have the same name, and even the same members, if desired).
jstackpo Posted December 8, 2011 at 08:02 PM Report Share Posted December 8, 2011 at 08:02 PM ....as may be deemed necessary and appropriate for the conduct of affairs" of the organization. That phrase is, unfortunately, in the passive voice so it really doesn't say who does the "deeming". It is a common assumption (really an interpretation of bylaws) that the assembly does it, and thus establishes the committee, but you can't be 100% sure.Best rule is to avoid the passive voice AT ALL TIMES in bylaws.
