Guest wrd Posted March 1, 2012 at 01:01 AM Report Share Posted March 1, 2012 at 01:01 AM situation, we have approx 200 members on our board. Quorum as defined in our bylaws state we need the majority of our members of the board to conduct transactions of business. We will have approx 80 to 90 members attending our business meeting. Is there any way to conduct business without maority as defined in our bylaws.

Guest black and tan Posted March 1, 2012 at 01:54 AM Report Share Posted March 1, 2012 at 01:54 AM Situation: Quorum is 8. Quorum was reached and meeting was started. Minutes from the previous meeting were reviewed and a motion was made and seconded to accept the minutes as read. Then one more member appears to make 9 in attendance.Question: Does the record show that 8 voted to approve and that's it? or 8 to approve with 1 abstention due to non attendance? Chris Harrison Posted March 1, 2012 at 02:02 AM Report Share Posted March 1, 2012 at 02:02 AM Neither. There should not be a vote on approving the minutes (the Chair would declare the minutes approved after all corrections offered are dealt with) and even if there was a vote it doesn't need to be counted unless the Chair or assembly ordered it and even if the votes were counted abstentions are not recorded in the minutes.
