Our Organization was formed 10+ years ago, Members adopted by laws that state....Robert's Rules shall be the authority of this Organization on patliamentary law and its usage....................................... The adopted by laws provide for the members

to elect a 9 member Board of Directors which was done.

These same by laws are mute on the authority and responsibility of the Board of Directors regarding censure, either

orally or in writing, of its members.

Does Robert's provide in any manner that the Board of Directors may censure their members?

If they may assume this authority under Robert's, may they censure members in executive session without the censured being present or even aware that they are being censured?

If the Board of Directors is wrong on this issue what is the remedy for those who have been wronged?

The default procedures for discipline, which apply if your bylaws have none, are contained in Chapter XX. of RONR. In general, boards have only those powers enumerated in the bylaws.

So does that mean a board cannot adopt a motion to censure even if it's nothing more than an expression of their opinion regarding one of their members? Or is censure always discipline, in your opinion?

Independent of the question Mr. Mervosh has raised, it is not proper to exclude the member from a meeting (executive session or not) of a body of which he is a member. I'm not sure if that's what you are suggesting with the question above (perhaps you simply meant that the member was conveniently absent at the meeting?) If the member was a] not notified of the meeting OR b] actively excluded from the meeting, then that would be improper.
