If your bylaws provide for an "ex-officio" board member, whoever fills some )outside) position is the "ex-officio" member and the Board has no (short term, anyway) say in the matter.For example, if the Board of some national non-profit organization has the President of the United States as an "ex-officio" Board member, then Barack Obama is on the Board. They are a member of your board not because they were appointed to your board, but by virtue of the fact that they hold some other position that gives them a seat on your board.So when you say your bylaws allow to to appoint an ex-officio member, that simply makes no sense.
