Guest Lisa Posted September 23, 2012 at 08:20 PM Report Share Posted September 23, 2012 at 08:20 PM I would like input on this situation. A Board Member made a Motion which was not seconded or voted on. The majority of the Board is not in agreement with this Motion. Another Board member made a motion to amend the first motion. A question has come up regarding whether the first motion has to have a second before a motion in made to amend. Please advise on the correct procedure in this case. Gary Novosielski Posted September 23, 2012 at 08:26 PM Report Share Posted September 23, 2012 at 08:26 PM In "small" boards, motions may not require a second. Is your board more than about a dozen members?
Guest Lisa Posted September 23, 2012 at 08:29 PM Report Share Posted September 23, 2012 at 08:29 PM We discuss and make motions via an email group. Then in our telephone conference meetings we do an "official" vote. We are a small Board. 9 Board members.Thank you for your responses.

jstackpo Posted September 23, 2012 at 09:07 PM Report Share Posted September 23, 2012 at 09:07 PM Lisa:The normal correct, proper, sequence (in outline) looks like this:Main Motion gets made, seconded and discussed (if the discussers jump in "ahead" of the second, the the lack of a second doesn't matter)During the discussion period, anyone can make an amendment; it is seconded and discussed. You vote on the amendment, thus changing (or not changing, if the amendment is defeated) the main motion.More discussion, and more (possible) amendments to the main motion as possibly amended. Then vote to adopt or defeat the main motion. All done. How does what you originally described differ from this?
Guest CZDT8s Posted September 23, 2012 at 09:57 PM Report Share Posted September 23, 2012 at 09:57 PM Our By-Laws do allow meetings via teleconference, electronic etc, because we are a National Club and scattered across the country.
Guest Lisa Posted September 23, 2012 at 10:01 PM Report Share Posted September 23, 2012 at 10:01 PM To JD Stackpole,Thanks for your reply. In our case the Main Motion was not seconded. So can it be amended? Or what is the sequence that should take place? Thanks!
Guest Edgar Posted September 23, 2012 at 10:05 PM Report Share Posted September 23, 2012 at 10:05 PM In our case the Main Motion was not seconded. The lack of a second is immaterial, either because this is a meeting of a small board where seconds are not required or because once debate begins, the lack of a second is moot.
