Should secretary take minutes that reflect who is present as well as who is absent from Board meeting?

There is no need to record either the attendance or absence of members (apart from noting who is serving as president and secretary if not the usual President and Secretary).

 

If your rules make the recording of attendance essential then you should record attendance (and, if you want, absence). But what to you do about a member who leaves ten minutes after the meeting is called to order? Or twenty minutes. Or a half-hour. And what do you do about a member who arrives ten minutes before the meeting is adjourned? Or twenty minutes. Or a half-hour.

Our secretary only records who is in attendance and never who is absent. This seems to defeat record-taking procedures. It also makes no sense since our by-laws require a board member to be removed after 3 absences.

It seems to me that anyone who was not present must have been absent, so I don't really see the problem. Nonetheless, the assembly may order the Secretary to record the absent members as well, if it wishes.
