czgrad Posted October 14, 2015 at 01:37 AM Report Posted October 14, 2015 at 01:37 AM My quilt guild has recently applied for 501-c-3 status with the IRS. Our bylaws say we operate according to Robert's Rules of Order. Our "Executive Board" consists of 1. President 2. 1st vice president3. 2nd vice president 4. Secretary and 5. Treasurer. Each of these positions has a vote at the Board Meetings. Each position has a 2 yr. term. When a position is vacated during the term the president appoints a replacement. My question is: Can the president appoint the secretary to the vacated treasurer position while she continues to hold the secretary position? Does she then get two votes at the board meetings?
Gödel Fan Posted October 14, 2015 at 01:56 AM Report Posted October 14, 2015 at 01:56 AM Do the bylaws prohibit a person from holding two positions? If not, then the appointment is acceptable, unless a law prohibits it. The individual will still have only one vote, though.
Hieu H. Huynh Posted October 14, 2015 at 01:57 AM Report Posted October 14, 2015 at 01:57 AM Do your bylaws give the president the power to appoint a replacement? In RONR, it's one person, one vote.
Richard Brown Posted October 14, 2015 at 03:28 PM Report Posted October 14, 2015 at 03:28 PM Just in case Hieu's correct answer is a bit confusing or appears to contradict Godel's answer (which it doesn't), Godel Fan is also correct: Nothing in RONR prevents one person from holding more than one position. In fact, it is quite common to combine the positions of secretary and treasurer. But, not matter how many hats that person wears, he or she gets only one vote. You count heads, not hats.
