Daniel S. Posted August 29, 2016 at 04:28 PM Report Share Posted August 29, 2016 at 04:28 PM We recently had an officer resign from our board. It seems like one time or another I read in RONR (but cannot find it now) that for the resignation to be recognized the resignation would have to be accepted at a meeting. Rather or not this is the case I would like to know what the proper way to acknowledge the resignation in the minutes would be.

You would not acknowledge it in the minutes unless your board properly considers the request to be excused from a duty, assuming they have the authority to accept it. A motion is required to be adopted in order to properly accept it. See RONR (11th ed.), p. 289ff
