Jayadev Posted September 26, 2016 at 03:57 AM Report Share Posted September 26, 2016 at 03:57 AM Recently our board of trustees passed a resolution to give a contract of painting whom ever meets certain conditions. Now our boar of trustees wants to reverse that resolution, My question do we need simply majority or two thirds of the total board? Thanks in advance
jstackpo Posted September 26, 2016 at 04:31 AM Report Share Posted September 26, 2016 at 04:31 AM Use the motion to "Rescind Something Previously Adopted" described on p. 305ff. Be careful, however: if a contact has been agreed to by a painter you could have legal problems if you rescind it. Ask a lawyer.

A motion with to amend or rescind something previous adopted with previous notice needs a majority vote to adopt. It needs a two-thirds vote if previous notice wasn't given at the previous meeting, or provided in the meeting notice if the assembly doesn't meet at least quarterly. It seems very unlikely to me that this is part of a multi-day session and the motion was adopted yesterday. Rescind of amend something previously adopted can also be adopted by a majority of the entire membership. To be clear, based on the way the question was asked: a 2/3 vote in this context means 2/3 of those present and voting, i.e. twice as many yeses as noes. A majority vote means more votes in favor than against. A majority of the entire membership means more yes votes than 1/2 of the number of members. Steven Britton Posted September 26, 2016 at 11:31 AM Report Share Posted September 26, 2016 at 11:31 AM Godelfan - yes a majority of the entire membership of the board could vote to rescind or amend, too. Some assemblies adopt special rules of order extending the time limit for moving reconsider. In particular, a city commission in my region has adopted such a rule.
