Guest lewis cormier Posted November 28, 2016 at 05:17 PM Report Share Posted November 28, 2016 at 05:17 PM If there are fewer members signed up for open board positions than the are positions available, can the existing president and/or board simply appoint members and avoid the time and expense of balloting ? Hieu H. Huynh Posted November 28, 2016 at 05:24 PM Report Share Posted November 28, 2016 at 05:24 PM Balloting must done if your bylaws require a ballot vote.
Clurichan Posted November 28, 2016 at 05:30 PM Report Share Posted November 28, 2016 at 05:30 PM (edited) Could be: "If only one person is nominated, and the bylaws do not require a ballot vote be taken, the chair ... simply declares that the nominee is elected ..." The added emphasis is mine, and the 1st ... replace wording that requires the chair be sure there are no other nominations/nominees, page 443. (Granted this cite is for a single position and a viva-voce election, but I think it shows the "spirit of the law".) Edited November 28, 2016 at 05:33 PM by Clurichan oops, more specifically a viva-voce election
Hieu H. Huynh Posted November 28, 2016 at 05:59 PM Report Share Posted November 28, 2016 at 05:59 PM Also, if the membership is electing the board members, then the president or the board cannot appoint them unless the bylaws authorize it. Richard Brown Posted November 28, 2016 at 06:16 PM Report Share Posted November 28, 2016 at 06:16 PM It is important to keep in mind that neither the president nor the board can actually appoint members to positions which are supposed to be elective positions unless the bylaws give them that Authority
