Guest Leslie Rone Posted January 23, 2017 at 08:56 PM Report Share Posted January 23, 2017 at 08:56 PM NO CURRENT ELECTED BOARD IN PLACE- - It has come to the attention of the members of our small club that the 2016 board of directors has permitted the election protocol stated in the bylaws to lapse. Essentially there was no 2017 slate of officers to elect at the annual meeting in Jan to elect new officers. At present, there are no elected officers as the term for 2016 elected officers was complete and over Dec 31, 2016. Our bylaws have RONR as the authority. In this situation, there is no one to automatically chair the meetings until a slate has been finished and elected according to the bylaws. What is the proper procedure to appoint a chair until then? This is not stated in our bylaws so we must conform to RONR.

Hieu H. Huynh Posted January 23, 2017 at 09:14 PM Report Share Posted January 23, 2017 at 09:14 PM Is there "until their successors are elected" in the term of office in your bylaws?
Richard Brown Posted January 23, 2017 at 09:21 PM Report Share Posted January 23, 2017 at 09:21 PM If your group is incorporated, check your state's non profit corporation laws. Those laws frequently provide that officers continue to serve until their successors are elected. They vary from state to state.
Guest Leslie Rone Posted January 23, 2017 at 09:41 PM Report Share Posted January 23, 2017 at 09:41 PM I will check with the state corporation laws and for the clause "until their successors are elected". Thank you for pointing this out and I was thinking that the Chairman Pro-Tem would be the best way to go otherwise.
