Tandi Posted September 3, 2017 at 10:24 PM Report Share Posted September 3, 2017 at 10:24 PM If there is a special called budget meeting, then is it possible to hire personnel if it is not on the agenda?
Hieu H. Huynh Posted September 4, 2017 at 12:05 AM Report Share Posted September 4, 2017 at 12:05 AM The only business that can be transacted at a special meeting is that which has been specified in the call of the meeting (see RONR 11th ed., p. 93). Joshua Katz Posted September 4, 2017 at 03:14 PM Report Share Posted September 4, 2017 at 03:14 PM Agreeing with Mr. Huynh, hiring personnel is a separate act from budgeting the money for that act. If the notice stated that the budget would be set, you can certainly put in a budget line for that employee, but unless there is an already existing way to do it (such as a general authorization that the CEO can hire and fire within the budget) that will not authorize the hiring and expenditure of the money. J. J. Posted September 4, 2017 at 06:14 PM Report Share Posted September 4, 2017 at 06:14 PM HHH, I, and JK agree but I would note that special meetings must be authorized in the bylaws.
