Guest Mike Posted June 27, 2018 at 03:16 PM Report Share Posted June 27, 2018 at 03:16 PM If 2 officers on the board resign can the remaining sitting board directors move to the officer positions without having to be voted in? If yes is it only for the remaining term limit of the resigning officers, or if there is another vote coming up due to officers having 2 year seats as directors having 1 year seats can there be another vote done at this time of voting for the directors a new vote for the new officers positions as well or do the officers have to wait until the end of the time left over from resigning 2 officers? Tim Wynn Posted June 27, 2018 at 03:32 PM Report Share Posted June 27, 2018 at 03:32 PM (edited) 22 minutes ago, Guest Mike said: If 2 officers on the board resign can the remaining sitting board directors move to the officer positions without having to be voted in? Check your bylaws to see how vacancies are filled. Any vacancy-filling provision in your bylaws will have to be followed. If the bylaws are silent on the matter, see RONR (11th ed.), p. 467, l. 25 - p. 468, l. 8. Keep in mind that if your board finds itself without a presiding officer or without a secretary, the board can elect a temporary presiding officer and a temporary secretary to serve for the session. This applies whether the officers left office or simply didn't show up to a meeting. See RONR (11th ed.), p. 452, l. 4 - p. 453, l. 16, and p. 459, l. 33 - p. 460, l. 2. Richard Brown Posted June 27, 2018 at 03:56 PM Report Share Posted June 27, 2018 at 03:56 PM Agreeing with Tim Wynn, the answer to your question about how the vacancies should be be filled will probably be determined by your bylaws. If not, and if the sections in RONR referenced by Mr. Wynn do not help, Let us know.
Hieu H. Huynh Posted June 28, 2018 at 12:32 AM Report Share Posted June 28, 2018 at 12:32 AM It may be worth noting that if the position of president became vacant, the vice president would automatically be president unless the bylaws provide otherwise.
