At this point it became not a quorum and the president said we can’t do anything else because we don’t have a quorum. No motion was made to adjourn nor any spoken word from the president of the meeting being adjourned. Everything that transpired prior to the loss of the quorum is presumed valid and stands. I concur with Mr. Brown, and will add that even without a formal motion or declaeration of adjournment, if everyone left, the meeting effectively was adjourned by unanimous consent. Gary Novosielski Posted November 21, 2018 at 01:40 AM Report Share Posted November 21, 2018 at 01:40 AM The chair was apparently unaware that even in the absence of a quorum, a motion can be made to adjourn, to recess, to set a time for an adjourned meeting, or to take steps to attempt to acquire a quorum. But even in the absence of a statement that the meeting was adjourned, it obviously did adjourn, and all actions taken before that are valid.
