It might be worthwhile to mention that the chairman of a small executive board is welcome to participate in debate without relinquishing the chair. What size board is this considered. Our new President has stepped over all the lines he possibly can and is just making changes with out the appro al or authority to. Board of Directors would be a large (very large) Board. If the president is overstepping his/her authority it is up to the membership to raise points of order to attempt to rein him in, or try to anyway. Points of order can, and should, be raised in the meetings of whichever Board the "line-crossing" is taking place, by the members of that board.
