As to removal of an officer, I agree that FAQ No 20 on the main website should be helpful. For more information, see chapter XX in RONR. It is the chapter on disciplinary proceedings. As to censure, RONR does not specify what type "transgression" is necessary. It could be anything that the membership believes justifies censure. Censure may be initiated for whatever reason the assembly determines appropriate. For removal, it depends on whether formal disciplinary procedures are required - as noted, see FAQ #20 for more information on that. If formal disciplinary procedures are not required, it again could be for whatever reason the assembly deems appropriate. If formal disciplinary procedures are required, officers (which includes board members) may be removed only for cause, which is defined as "neglect of duty in office or misconduct." To initiate, only a motion and second is necessary. To pass, a majority vote is necessary. A transgression is merely nice-to-have, but it helps in gathering a majority.
