Joshua Katz Posted September 17, 2020 at 03:20 PM Report Share Posted September 17, 2020 at 03:20 PM No, but the minutes will still be there for approval when the organization again meets. And, because it's often asked, the motions adopted are perfectly valid and in force even if approval is delayed. For the future, though, it might be a good idea, as RONR suggests, to instead appoint, at the annual meeting, a minutes approval committee, or authorize the board to approve the minutes. Or, even better, to adopt a rule to that effect.

This is not the correct procedure. The board or a committee should be appointed to approve those minutes, but since they were not 5 minutes ago, Guest Frank said: . Can the Board approve the minutes? No. See the rules in RONR (12th ed.), 48:

Only if the Annual Meeting authorized them to do so. RONR recommends against waiting a full year to approve minutes even in good times. It recommends authorizing a committee or the board to do so.
