Tomm Posted October 12, 2020 at 04:57 PM Report Share Posted October 12, 2020 at 04:57 PM Can a member of a standing Committee be denied to give a PowerPoint report to the board simply because he is not a member of the board?
Rob Elsman Posted October 12, 2020 at 05:41 PM Report Share Posted October 12, 2020 at 05:41 PM Yes. Persons who are not members of the board do not have a right to attend board meetings, much less give a report or presentation.
Tomm Posted October 12, 2020 at 05:50 PM Author Report Share Posted October 12, 2020 at 05:50 PM Even if the task given to the Standing Committee was by the Board? Then, must the report be given by a Board member only?
Tomm Posted October 12, 2020 at 05:58 PM Author Report Share Posted October 12, 2020 at 05:58 PM P.S. A Board member is the chairman of that Standing Committee.
Rob Elsman Posted October 12, 2020 at 06:12 PM Report Share Posted October 12, 2020 at 06:12 PM I did not intend to imply that a non-member of the board could not be invited by the board to make a report or give a presentation.
Tomm Posted October 12, 2020 at 06:33 PM Author Report Share Posted October 12, 2020 at 06:33 PM So are you then saying then, that a non-board member who is a member of the board's standing committee can therefore be invited by a single board member (who by the way is the chairman of that standing committee) to make the presentation at a board meeting. Note that all board meetings are open meetings and allow non-board members but members of the corporation to attend. RONR citation please! Thanks
Rob Elsman Posted October 12, 2020 at 06:46 PM Report Share Posted October 12, 2020 at 06:46 PM No, as far as the rules in RONR control, the non-member may be invited by majority vote (or, of course, by unanimous consent) if there is no rule in force on the matter. RONR (12th ed.) 61:7. Since you state rather definitely that "...board meetings are open meetings", it is likely that your corporation has adopted a rule of its own. It may be necessary to consult the corporation's own rules to determine if this non-member of the board has some special right to make reports or give presentations to the board. Such a right will not be found in RONR.
