501 (c) (3), Stock Corporation with Bylaws and Board consisting of 4 Officers, P, VP, T, S

This group has been inactive for 3 years.  No members in good standing at this tyme, 4 Board Members.  The current Board would like to vote new Officers, the only position that would be a new person to the Board is the Secretary position.  After this is done, The New Board would like to vote on Bylaw changes.  and ReStart this Organization with the New Board.  

Since we don't have any members at this time is there an issue???

This is more of a legal issue than a question of proper parliamentary procedure.  You need to consul a lawyer.
