Guest Ted Wooden Posted January 4, 2011 at 06:51 PM Report Share Posted January 4, 2011 at 06:51 PM Can the Board of Directors reverse the decision of the general body? Our general body voted on an executive position and the vote was tied. After the meeting, the board of directors was to hold a meeting to decide on who was to take the position. Can the Board put the same person in that position even if the general body voted no.

hmtcastle Posted January 4, 2011 at 07:29 PM Report Share Posted January 4, 2011 at 07:29 PM Our general body voted on an executive position and the vote was tied.If this was an election you need to keep voting to complete the election. (Elections are an exception to the general rule in which a tie vote defeats a motion.)

Can the Board put the same person in that position even if the general body voted no.If the vote was tied, neither person received a majority. The board of directors has no power to grant the position to either person. The membership elects people, not the board. But the membership must continue to do its job. They have to continue to vote until they can elect someone by a majority vote. They don't get to vote "no". They only get to vote "who".
