XMa Posted May 8, 2011 at 05:54 PM Report Share Posted May 8, 2011 at 05:54 PM Do proxies have to be delivered/filed with the Secretary prior to the meeting or can they be brought to the meeting and delivered to the Secretary there? The bylaws for our HOA simply state: "Proxies. At all meetings of members, each member may vote in person or by proxy. All proxies shall be in writing and filed with the secretary. Every proxy shall be revocable and shall automatically cease upon conveyance by the member of her/his lot."

jstackpo Posted May 8, 2011 at 06:09 PM Report Share Posted May 8, 2011 at 06:09 PM RONR views proxies as a no-no; but notes that if authorized in bylaws (as seemingly, yours are) they are OK. But all instructions for their use should be in those bylaws, or associated rules -- RONR has none.If you have an argument over your question and what our bylaws require, turn to p. 570 in RONR for how to resolve the difficulty.
