Guest Plummerbc Posted May 16, 2012 at 07:32 PM Report Share Posted May 16, 2012 at 07:32 PM Need assistance.....We have a board the consists of 5 people. One person has resigned. This open seat is not suppose to be up for reelection until the next year in Oct. The remaining board members are split when it comes to voting on anything for our organization. We cannot even get a vote to get someone to fill that open seat without having a split vote. How can we resolve this issue?
Chris Harrison Posted May 16, 2012 at 07:48 PM Report Share Posted May 16, 2012 at 07:48 PM Do the bylaws actually authorize the Board to fill the vacancy? If they don't then the General Membership would be the one to do so (unless the bylaws specify a different body/person). If the bylaws do authorize the Board to fill the vacancy then they should come up with someone which both sides can live with. Negotiation and compromise are sometimes part of the process of getting what you want.

Guest Edgar Posted May 16, 2012 at 10:29 PM Report Share Posted May 16, 2012 at 10:29 PM yes the bylaws state that the board has to be in complete agreement to replace the seatThen you have a bigger problem than a split vote (i.e. a 2-2 tie) since any one member can, in effect, veto the motion. Guest Edgar Posted May 17, 2012 at 12:19 AM Report Share Posted May 17, 2012 at 12:19 AM Wait --- You mean the bylaws actually say the vote on filling a vacancy must be unanimous?????????Any maybe even more than a unanimous (e.g. 1-0) vote. A 4-0 vote ("complete agreement") seems to be required.
