Quietstorm Posted March 24, 2014 at 12:29 PM Report Share Posted March 24, 2014 at 12:29 PM Our Board chairman was part of a committee (under the Executive Committee - President) tasked with researching location, cost, etc. for a planned event. Throughout the process the committee never submitted reports to the Executive Committee or Board of Directors (per by-laws). The only updates were sent via emails and this was after the fact. The chairman allowed an individual on the committee (non-member volunteer) to basically handle everything. The committee was not established "with power" and the chairman continued to "move forward" and ignore repeated request for information, etc. 1. Can any type(s) of sanction(s) be imposed on the chairman? 2. Would any/all proposed sanctions come from the President? How should the Board react to all of this? Thank you in advance. Thomas Ralph Posted March 24, 2014 at 12:45 PM Report Share Posted March 24, 2014 at 12:45 PM Has anything actually been done on this? It seems to me that the executive committee should, at its next meeting, move to discharge this special committee for researching the event, and then establish a new one with fewer useless idiots on it. Quietstorm Posted March 24, 2014 at 12:58 PM Author Report Share Posted March 24, 2014 at 12:58 PM Thanks for the response. Unfortunately the event was held this past Saturday due to the fact of the commitment(s) made on behalf of our organization. That being said some Board members were inquiring about what it (Board or Executive Committee) can do to "send a clear message" to the Board Chair. Chris Harrison Posted March 24, 2014 at 01:18 PM Report Share Posted March 24, 2014 at 01:18 PM There are varying levels of discipline that can be imposed on the Board Chair ranging from censure (a verbal slap on the wrist saying "Bad Board Chair! Don't do it again!" but carrying no further punitive actions), to removal from office, to removal from the Board, to expulsion from membership of the organization. However, every option except for censure can only be utilized by the body which the bylaws authorize to impose discipline.
