The board will have no role at the annual meeting of the general membership. In fact the board, as a board, won't even be there. The board can only act as a board at a board meeting. Well, the fact that ballots are mailed out doesn't necessarily mean they can be mailed in. I'm keeping my fingers crossed. But I'm not holding my breath. That requirement is something that cannot be waived, even if there is only one candidate. I'm not sure what you are asking in your second sentence, but a board has only such power as is given to it in the bylaws.
