Guest Pierre Posted October 11, 2015 at 09:50 AM Report Posted October 11, 2015 at 09:50 AM I have a question regarding a bylaw violation. Our bylaws provide that a Board President shall only serve a 3 year term. Our President is in her third year as Board President. We want her to stay another year because of the reorganization that is going on within the college and the relationships she has with involved parties. The entire nominating committee want her to stay and we want to present this to the Board of Governors and see if they will make an "exception" to the bylays. Is there anything we can do to get her elected unders "special circumstances" that would allow her to serve one more year and not the full 3 year term msince she will term out in June 2016? Thank you for your replies.

Thank you for your replies. Your Board of Governors cannot make any kind of exception to your bylaws unless your bylaws specifically authorize it to do so (which apparently is not the case). There are no "special circumstances" which permit exceptions to be made to your bylaw restrictions in this regard unless your bylaws say that there are (which apparently is not the case).
Transpower Posted October 11, 2015 at 11:51 AM Report Posted October 11, 2015 at 11:51 AM You could, of course, amend the bylaws!

What do your bylaws say about term limits? It may be possible to elect her to another term and have it expire automatically when the limit arrives.
Dan Honemann Posted October 11, 2015 at 04:45 PM Report Posted October 11, 2015 at 04:45 PM Our bylaws provide that a Board President shall only serve a 3 year term. What do your bylaws say about term limits? Looks as if the limit is one term of three years, wouldn't you think?
Guest Curious Posted October 11, 2015 at 05:38 PM Report Posted October 11, 2015 at 05:38 PM Yeah, probably. Pierre says the president will "term out" at a specific time; I wondered if there were some other limit in effect.
Guest Pierre Posted October 12, 2015 at 09:17 PM Report Posted October 12, 2015 at 09:17 PM The Board President can serve 2 terms- each 3 years however, she can only serve one 3 year term as President. The bylaws state "She shall serve a three-year term and shall not be eligible for any successive terms as President" I feel the only legitimate way to allow for this exception is to amend the bylaws as Transpower has suggested. Thank you all ofr your learned responses. This is a great forum!
Richard Brown Posted October 14, 2015 at 03:46 PM Report Posted October 14, 2015 at 03:46 PM The Board President can serve 2 terms- each 3 years however, she can only serve one 3 year term as President. The bylaws state "She shall serve a three-year term and shall not be eligible for any successive terms as President" This does not make any sense to me. It is contradictory. Can she serve only one 3-year term or two 3-year terms?
Guest Pierre Posted October 20, 2015 at 06:22 PM Report Posted October 20, 2015 at 06:22 PM She can serve 2 three year terms on the Board of Governors and 1 three year term as an Officer (President) of the Board. Hope this clarifies.
George Mervosh Posted October 20, 2015 at 06:59 PM Report Posted October 20, 2015 at 06:59 PM She can serve 2 three year terms on the Board of Governors and 1 three year term as an Officer (President) of the Board. Hope this clarifies. Just re-read Mr. Honemann's remarks in post #2. They're still true.
