Guest Augustine Posted October 24, 2015 at 11:49 PM Report Share Posted October 24, 2015 at 11:49 PM if a board takes a vote that violates the by-laws, it is consider void and null. How can a member point out the section and quote RONR that states, the board only has the power in which it was delegated in the by-laws.

Gary Novosielski Posted October 25, 2015 at 06:08 PM Report Share Posted October 25, 2015 at 06:08 PM I think we need clarity on the word "member" and "meeting". If you are a member of the board, you can raise a point of order at the next meeting of the board. If you are a member of the society, but not the board, you can raise a point of order that the board acted improperly, at a meeting of the membership.
