Guest Sharon Posted January 14, 2018 at 12:36 PM Report Share Posted January 14, 2018 at 12:36 PM We are looking to recall a member of our Board of Directors . Once this is done what is the process used to replace this person who still has a year left in their term?? Does the president appoint someone ? Does the remaining board vote on the replacement? Richard Brown Posted January 14, 2018 at 12:52 PM Report Share Posted January 14, 2018 at 12:52 PM (edited) What do your bylaws say about filling vacancies? Also, do your bylaws spell out the requirements/method of removing a board member? If not, you might look at FAQ # 20 http://robertsrules.com/faq.html#20 Edited January 14, 2018 at 12:57 PM by Richard Brown Added link to FAQ # 20 and corrected typo

Does the remaining board vote on the replacement? No, unless the bylaws give them such powers. Generally the body that elected the board members would have the power to fill the vacancies. Indeed, it may be the case that only the body that elected them can remove them, depending on what the bylaws say.
