Guest Clair Ification

General discussion on what counts as a vote or majority vote:  13 member board, 9 were present (8 in person and 1 via phone)...quorum was met.  Assume a vote of 3 yes, 2 no and 4 abstaining, does this constitute as a pass?  Do you need 5 yes votes to get a majority of the members present?  Do you need 7 yes votes to get a majority of the voting board (even though members were absent)?

Who can abstain from a vote?  I know there is a clause with conflicts of interest, but can anyone abstain?

Unless otherwise specified, a "majority vote" is of those present and voting. So 3-2 Is a majority vote. For that matter, 1-0 is also a majority vote.

5 is a majority of 8 or 9 (depending on whether participation by telephone is allowed in your rules).

And 7 is a majority of 13

And no one can be compelled to vote. Nor can anyone be compelled not to vote under RONR.

That constitutes a regular "majority vote".  But, what exactly is YOUR requirement?  Majority vote?  Majority of the members present?  Majority of the entire membership?  A two-thirds vote?  A vote of two thirds of the members present?  A vote of two thirds of the entire membership?  The answer to all of those is different.  The motion passes if the requirement is simply an unqualified  "majority  vote".  But, not if it is any of the other five requirements I mentioned.
