Mare Posted November 8, 2018 at 02:11 PM Report Share Posted November 8, 2018 at 02:11 PM The newly elected board of directors for our HOA wants to amend several by-laws. Do they have to be voted on as a whole or individually?
Richard Brown Posted November 8, 2018 at 02:38 PM Report Share Posted November 8, 2018 at 02:38 PM More information would be helpful, particularly whether you are referring to a few isolated amendments or to a completely new revised set of bylaws. By law amendments would be taken up one at a time with each one discussed and voted on separately. If this is to be a completely new set of bylaws, rather than just a few bylaw amendments, then there would be one final vote taken on the complete new set of bylaws, but the various provisions could be individually debated and amended first. Whichever is the case, you must follow the procedure for amending the bylaws which is set out in your current bylaws and in any controlling state law. Mare Posted November 8, 2018 at 02:51 PM Author Report Share Posted November 8, 2018 at 02:51 PM Thank you, Richard. I'm assuming it will be a few different amendments and not a complete by-law change.
Transpower Posted November 8, 2018 at 06:53 PM Report Share Posted November 8, 2018 at 06:53 PM You could put the question on amendments in gross (RONR (11th ed.), p. 523, ll. 9-10). However, this is rarely done, unless they all depend on each other.
Joshua Katz Posted November 9, 2018 at 12:58 AM Report Share Posted November 9, 2018 at 12:58 AM But before all that, does the board have the power to amend the bylaws? What do your bylaws say about their amendment?
Mare Posted November 9, 2018 at 03:24 PM Author Report Share Posted November 9, 2018 at 03:24 PM 14 hours ago, Joshua Katz said: But before all that, does the board have the power to amend the bylaws? What do your bylaws say about their amendment? I should have worded the question differently. The board suggested that the ByLaws Committee look into amending some of the bylaws. We do have a procedure to follow as described in our bylaws.
