Guest Zev Posted November 15, 2018 at 09:57 PM Report Share Posted November 15, 2018 at 09:57 PM Is it not true that if the board did not actually vote to adjourn that this board meeting is still in session in spite of what the president said? Well, if everyone is still hanging around, perhaps. But if everybody has gone home and today is another day, I would say that the meeting adjourned. Well, the chair under some conditions may adjourn a meeting without a motion, but being excessively angry is certainy not one of them. If the chair declares the meeting adjourned when members wish to continue meeting, then a member may immediately object (treating the prematurely announced adjournment as a unanimous consent request), or to raise a point of order that there was no motion to adjourn. Even if the chair announces adjournment because of a scheduled time to adjourn, the membership may move to set aside the orders of the day and continue meeting. If a member immediately seeks recognition for any proper purpose, the chair is obligated to call the meeting back to order. If the chair refuses or simply departs, the vice-president/vice-chair, if present, presides over the remainder of the meeting, or no vice-officer is present, a chair pro-tem may be chosen. But the OP seems to have abandoned the question, or lack thereof. Edited November 15, 2018 at 11:22 PM by Gary Novosielski

The president does not have the authority to adjourn the meeting on his own initiative except in case of dire emergency. Let the president stomp off and then continue with the vice-president in the chair. If the VP is absent, then elect a chair pro-tem.
