Guest Karen Posted November 1, 2019 at 09:14 PM Report Share Posted November 1, 2019 at 09:14 PM The bylaws state a majority is needed for meeting quorum, but do not state a quorum for committee meetings. Is that number still a majority? Can minutes be approved in committee without a quorum?
Rob Elsman Posted November 1, 2019 at 09:27 PM Report Share Posted November 1, 2019 at 09:27 PM The default rule in RONR for a quorum in committees is a majority of the members. Committees generally do not have formal minutes that require reading and approval.
Richard Brown Posted November 1, 2019 at 10:55 PM Report Share Posted November 1, 2019 at 10:55 PM It is true that committees normally do not have minutes that require formal approval, but if your committee does, then a quorum is necessary in order to approve the minutes. In most committees, per RONR, the chairman simply keeps notes of the proceedings. However, there is nothing wrong with the committee keeping formal minutes. jstackpo Posted November 1, 2019 at 11:28 PM Report Share Posted November 1, 2019 at 11:28 PM And if the committee is making a report to the superior body, that report is supposed to be adopted, in the committee, by a majority vote, a quorum being present. No quorum -- no report.
