Genesis Posted January 15, 2020 at 09:50 PM Report Share Posted January 15, 2020 at 09:50 PM State statute requires the consent of at least 67% of the assembly to amend the assembly's bylaws. However, within the bylaws themselves, there is a statement that by a "general or special resolution of the Board," a certain provision in the bylaws may be altered. The Board treated the resolution as if it were a motion, replacing the term, "motion," with the term, "resolution," seconded it and voted. What is the difference between a motion and a resolution? What is a "general" resolution versus a "special resolution"?

Transpower Posted January 20, 2020 at 05:07 PM Report Share Posted January 20, 2020 at 05:07 PM A resolution with a preamble follows the skeleton guide in RONR (11th ed.), p. 108, ll. 5-14: Whereas...., Whereas...., Resolved...., Resolved.... So merely substituting "resolution" for "motion" would not be correct.

This is a term I often see in statute. Almost always, there is a list of definitions at the beginning of the statute. If you don't see a definition in your bylaws, check the applicable statute.
