The by-laws do state an emergency clause which says: these by-laws may be temporarily altered in full or in part when the BOD decides an emergency exists. This action must be deemed to a temporarily expedient to best serve the interest of all members of the club. Roberts Rules of Order shall govern the conduct of any business of the club which is not otherwise listed in these by-laws. In the by-laws it does not address meetings at all. The Chairman of the BOD (who is the President of the Club) called such a meeting with no agenda attached and suspended 2 members (one of which was a Director). Can the BOD do this?
