Bylaws committee

What authority would a by-laws committee have to make decisions on its own? Then present the decisions to the body.

We are revising tour bylaws and trying not to form a working committee who make decisions just to have the body reject our work. Can bylaws committee make any decisions on it own?

It depends on how the By-law, or the motion, creating the Committee states.

"Authority"?

 

None.

By default.

 

Whatever "authority" or "power" a committee has, must come from a superior party.

 

Usually, that party is (a.) a general membership; (b.) a board.

This is accomplished via a motion.

That motion might be worded like so:

"That we create a bylaws committee, to be appointed by the president, to a maximum of three, to review the bylaws for imperfections; and report back its findings by our next regular meeting."

 

It is possible that one's bylaws grant a given committee power.

If you want to know what is typical, then try this.

 

* Bylaws committee meets.

* Bylaws committee finds things which need fixing.

* Bylaws committee drafts report (of what needs fixing).

* Bylaws committee representative (the chair?) presents the report to the appropriate party (the board? the general membership?).

* That body of authority then acts. (Or does not act.) That is, the amendment process begins. (Or not.)

The By Law committee is presented with by law changes from the membership. Checks and balances take place to insure the presented change(s) are not conflicting with constitutions etc. Then it gets interesting.

 

In this case, it sounds like the function of the bylaws committee is to recommend to the membership whether or not to adopt the proposed changes. I think it would still be within the authority of the committee to suggest that certain changes be made to these proposals, if it felt such changes would improve the proposals, but it would not be within the committee's authority to make those changes on its own, unless specifically granted that authority.
