Frank Posted June 15, 2012 at 06:52 PM Report Share Posted June 15, 2012 at 06:52 PM If a motion is made and acted upon (adopted or failed) during executive session, is that motion and the result recorded in the minutes for the entire BOD meeting?Example: A Director asked to go into executive session and all members agreed. During the Executive Session, the Director submited his resignation. A motion and second was made to accept the resignation, discussion occured, and the motion carried when a vote was taken. So, should the BOD meeting minutes reflect the motion and result that occured during Executive Session? If so, could you give me an example of how that would look in the minutes?
George Mervosh Posted June 15, 2012 at 07:07 PM Report Share Posted June 15, 2012 at 07:07 PM No. Executive session minutes are separately kept: "The minutes, or record of proceedings, of an executive session must be read and acted upon only in executive session, unless that which would be reported in the minutes-that is, the action taken, as distinct from that which was said in debate-was not secret, or secrecy has been lifted by the assembly." Gary Novosielski Posted June 20, 2012 at 01:28 PM Report Share Posted June 20, 2012 at 01:28 PM Exec. Session - if a motion and second are made regarding a personnel issue and no vote is taken until back in open session, what is recorded in the open session minutes? In the open session minutes, all that would be recorded is that the board went into executive session, returned from executive session, and then voted on whatever it was (in open session). The executive session would contain very little, since no action was taken there. jstackpo Posted June 20, 2012 at 01:33 PM Report Share Posted June 20, 2012 at 01:33 PM With no business motions voted on in ExecSess, I would say that the minutes of the session would contain just one sentence: "At the conclusion of the discussion(s), a motion to go out of Executive Session was adopted." You might even not include the "At the conclusion..." part.No secrets given away there.
Gary c Tesser Posted June 20, 2012 at 08:18 PM Report Share Posted June 20, 2012 at 08:18 PM But the separate minutes that George Mervosh spoke of would have to contain the motion that wss made there, wouldn't it? (And how would they have properly gone out of executive session, anyway? All I can see is that, during debate on a motion, someone raises a question of privilege, and there you go. But wouldn't that be awkward?)
