Guest Pam Gibson Posted August 6, 2012 at 02:31 PM Report Share Posted August 6, 2012 at 02:31 PM A vote of 2/3 of directors then in office. There are seven directors - 4.6. To pass do you need 4 or 5? Do you always round up?

sMargaret Posted August 6, 2012 at 03:04 PM Report Share Posted August 6, 2012 at 03:04 PM Don't think of it as rounding, but think of it this way - you need at least two-thirds, so you need at least 4.6 votes in favour. Presuming you don't have any fractional members, 4 won't get you there, so at least 5 in favour is what you need.
Rev Ed Posted August 6, 2012 at 05:37 PM Report Share Posted August 6, 2012 at 05:37 PM You round up - it's that simple.
David A Foulkes Posted August 6, 2012 at 07:43 PM Report Share Posted August 6, 2012 at 07:43 PM You round up - it's that simple.Yes, it is when whole people and one-person-one-vote is the rule. I'm thinking about weighted voting though, where it might be possible to get 4.6 votes in favor. Better to stick with sMargaret's first sentence, I'd say, and shy away from the rounding concept. Tim Wynn Posted August 6, 2012 at 11:28 PM Report Share Posted August 6, 2012 at 11:28 PM By the way, 4.6 is not sufficient to satisfy a two-thirds vote, when 7 votes are cast.

Gary Novosielski Posted August 7, 2012 at 02:56 AM Report Share Posted August 7, 2012 at 02:56 AM A vote of 2/3 of directors then in office. There are seven directors - 4.6. To pass do you need 4 or 5? Do you always round up?No, you don't round at all. Two thirds of 7 is 4 2/3 (not 4.6). So that's how many votes you need.Count the votes, and if there are 4 2/3or more then it passes. Clearly, four votes are less than that, while five votes are more, so it takes five.
