President Resignation electronically

We are a small booster club with 6-8 active members. Our president posted her resigantion on a chat forum that the club has used to conduct offical business. We have voted many times on this forum. Our next regular meeting is tomorrow and there is of course some disagreement. The group is split on this issue some feel it was not an offical resigantion and she can go on like nothing happened and the others feel because it has been acknowledged and used for official business it needs to be accepted and voted on tomorrow. HELP!! I am new to this process and really trying to get this issue resolved in the best way possible. It truly is a good thing if she does resign but there are a few people who do not want her to. Our By-Laws are very generic and does not discuss any of this.

Unless your bylaws permit meeting electronically you'll have to hold an actual (in-person) meeting to accept (or reject) the president's resignation. Until you do, the resignation is just "a request to be excused from a duty".

 

Why not simply contact the president and ask if she really intended to resign? Until it's formally accepted, she can withdraw it.

 

Or accept it and let her try to prove that she didn't really mean it.

Also, your club may want to amend your bylaws to include meeting by "chat forum". Note that RONR does not recommend conducting business by such a method.

Yes, she's still the president until her resignation is formally accepted.

Then I would suggest you vote to accept her resignation.

 

As an aside, you say you have "6-8 active members". If your actual membership is much greater you may have trouble obtaining a quorum (the minimum number of members that must be present at a meeting).

Assuming that the bylaws don't say that a resignation is effective upon receipt.... and assuming she doesn't withdraw it before it's accepted.  If the bylaws are silent as to when a resignation becomes effective, she can show up at the meeting and state that she is withdrawing it before it gets voted on.   It's probably a good idea to check the bylaws before the meeting to see if they provide that a resignation is effective upon receipt.  But, then, that raises the question of whether posting the resignation in a chat room or on a forum is a permissible and effective way of submitting a resignation.

 

Oh, the joys of conducting business via the internet and chat rooms!  :)

"A resignation is submitted in writing, addressed to the secretary or appointing power; alternatively, it may be submitted during a meeting either orally or in writing." (RONR, 11th ed., pg. 291)

 

So a post on a chat room or forum which is regularly used by the assembly seems sufficient, albeit a bit unorthodox. The fact that the assembly regularly conducts business by such a method is much more concerning.

Agreed that it is a terrible way to conuct business. That is the first thing to change after she is offically out!

You'll find sample ("generic") bylaws in RONR.

 

You could try Googling "parent booster club" (with quotation marks) and see if any have posted their bylaws online. Or you could find another club near you and ask.
