Guest gordon Posted March 14, 2015 at 05:05 AM Report Share Posted March 14, 2015 at 05:05 AM does a board of directors need contain an odd number of members?
jstackpo Posted March 14, 2015 at 07:24 AM Report Share Posted March 14, 2015 at 07:24 AM No. Don't forget that a tie vote defeats a motion. And with an odd number of members, any one of them is still free to abstain, leaving you with four voters anyway.
bobby101 Posted March 14, 2015 at 12:32 PM Report Share Posted March 14, 2015 at 12:32 PM No, but I've seen several boards with a number of odd members. bobby101

jstackpo Posted March 14, 2015 at 01:33 PM Report Share Posted March 14, 2015 at 01:33 PM Quite correct -- an even number of voters. (I had 4 / 5 on the brain.)
g40 Posted March 16, 2015 at 12:57 AM Report Share Posted March 16, 2015 at 12:57 AM It is also the case that the number of board members in attendance may often be fewer than the full board. Nonetheless, it is a common requirement of organizations that the board have an odd number of board members.
Edgar Guest Posted March 16, 2015 at 04:37 AM Report Share Posted March 16, 2015 at 04:37 AM . . . it is a common requirement of organizations that the board have an odd number of board members. I think it's probably more accurate to say that many, if not most, boards consist of an odd number of members. I doubt that many organizations require that the number of members be odd (without specifying that number).
Gary Novosielski Posted March 16, 2015 at 12:36 PM Report Share Posted March 16, 2015 at 12:36 PM Four voters? Not if the odd number was three.
