Guest Bruce Posted July 29, 2019 at 03:58 PM Report Share Posted July 29, 2019 at 03:58 PM When a Committee votes on a resolution to send to the full Board of Directors, do those Committee Members need to vote again? For example, if a Committee is charged with a task, and they do that task and create a resolution to go before the full Board, hey vote on that resolution in Committee. Then the Chair of the Committee takes the resolution to the full Board for their approval. Does the Committee Member need to vote again as a Board Member this time? Joshua Katz Posted July 29, 2019 at 04:15 PM Report Share Posted July 29, 2019 at 04:15 PM Well, no one ever needs to vote. But if you're asking if committee members who are also board members may vote when the recommendation comes before the board, the answer is yes. If you're asking something else, can you please clarify?
George Mervosh Posted July 29, 2019 at 04:51 PM Report Share Posted July 29, 2019 at 04:51 PM I think what Bruce is asking is - If the member votes in the committee does that vote automatically become his vote when the board takes up the matter? The answer is, no, if that is the correct question.
Rob Elsman Posted July 29, 2019 at 06:23 PM Report Share Posted July 29, 2019 at 06:23 PM I agree with Mr. Mervosh. In fact, a member of a committee is not prohibited by rule from voting the opposite way in the parent body.
