George Mervosh Posted May 17, 2012 at 12:41 PM Report Share Posted May 17, 2012 at 12:41 PM Is the language in model bylaws, Article VI, Section 2., sufficient for the Board to fill mid-term vacancies under the rules on pp. 467-468?
jstackpo Posted May 17, 2012 at 12:56 PM Report Share Posted May 17, 2012 at 12:56 PM I'd say "no", since, under VI.2, the Board is granted only "general supervision...". "GenSup" is (more or less) defined on p. 577-578.The board would have to be given "full power and authority..." (p. 578) in order to have the power to fill mid-term vacancies, as described on 467. jstackpo Posted May 17, 2012 at 01:08 PM Report Share Posted May 17, 2012 at 01:08 PM No quarrel!. I'm right!!The distinction between grants (via bylaws) of "general supervision" vs. "full power" is critical with respect to the power to fill vacancies. George Mervosh Posted May 17, 2012 at 01:29 PM Author Report Share Posted May 17, 2012 at 01:29 PM Yep, you certainly are right. The answer to George's question is clearly "no".Agreed. It's not uncommon to see the language used in RONR's bylaws in real-world ones and Boards love to grab powers they don't have. Thanks for the confirmation (John and Dan).
